WAIVER and ASSUMPTION OF RISKS

                  AD-HOC SECURE TRANSFERS

Whereas The St. Lawrence Seaway Management Corporation (SLSMC)  
has posted data on their Corporate FTP site for the use of its  
customers, agents, and clients via the Internet (‘Data’);

THEREFORE, IN CONSIDERATION of its customers, agents, and  
clients being granted permission to access and use the Data, 
its customers, agents, and clients (Clients), on their own  
behalf, and on behalf of their representatives, agents, 
contractors, consultants and insurers hereby grant an  
 irrevocable waiver and agree to the following:

1. The various Data provided on SLSMC FTP site have been 
acquired by SLSMC for SLSMC use only, were collected at  
different time, are not necessarily complete, are not  
the most necessarily the most current Data and are solely 
provided to of its Clients for general information;

2. The Data was valid at the time of collection only; 

3. The SLSMC makes no representation on the accuracy of 
the Data, SLSMC does not warrant that the Data will be 
useful in any way for of its Clients’ use and SLSMC 
does not warrant that the Data will necessarily fulfill 
the needs  of its Clients;

4. The Data shall not be relied upon for navigation purposes;

5. SLSMC's Clients assumes all risks involved in its 
use of the Data for or any other use whether  
authorized or not;

6. SLSMC does not guarantee availability of the FTP  
site at all time and shall not be liable to its  
Clients or any other party for the availability  
of the FTP site;

7. SLSMC's Clients recognizes that the access to the  
Data and the Data as provided to them on a   
confidential basis and SLSMC's Clients shall not  
give, distribute, lend to or share the FTP account 
information as well as the Data with any other party 
without prior written consent from SLSMC, and SLSMC's 
Clients shall require the same from their contractors 
and consultants or anyother parties involved in  
the use or access of the Data;

8. The SLSMC, as well as their employees and agents, 
will not be held liable for any personal injury,  
death or any damage to property, employees, or persons 
whatsoever and howsoever caused, which may arise 
as a result of or related to the access and/or 
use of the Data provided and the permission 
 hereby granted,

9. SLSMC's Clients hereby waives any right of action, 
and will indemnify and savethe Corporation, Her 
Majesty as well as their employees, agents and  
representatives harmless, and defend them against 
any claim, demand or action,for whatsoever and  
howsoever brought by any persons or corporations,  
or any loss, damage, cost, and expense incurred in 
connection with the use of Data as stated above;

10. SLSMC's Clients agree and acknowledge that  
SLSMC has all remedies permitted at law should  
their representatives, contractors, consultant 
or agents breach  any of the above conditions.

11. The permission can be revoked by SLSMC at  
any time without prior notice to SLSMC's Clients.
